Project Casting Affiliate Program Agreement

1. Introduction

This Project Casting Affiliate Program Agreement (“Agreement”) is a legal contract between you (the “Affiliate”) and Project Casting, LLC (“Project Casting” or “we/us”). It describes how we will work together and other aspects of our business relationship. Like most legal documents, it contains legal language, so please read it carefully. Your participation in our Affiliate Program is conditioned on accepting all of the terms below. If you do not agree with these terms, do not join the program.

We may update these terms or replace them if the Affiliate Program changes or ends. We will notify you of any updates through the Affiliate Tool or by email. If you don’t agree to the changes, you may terminate this Agreement as described in the termination section.

2. Definitions

For purposes of this Agreement:

• Affiliate Program – our affiliate program described in this Agreement, under which you promote Project Casting’s services and earn commissions.

• Affiliate Tool – the online platform we provide to manage your participation, track your links, and record eligible transactions.

• Affiliate Lead – a potential customer who clicks on the unique tracking link we provide to you via the Affiliate Tool.

• Affiliate Link – the unique link you place on your site, posts, or other marketing channels that tracks referrals.

• Affiliate Policies – any policies for affiliates that we publish and may update from time to time.

• Commission – the amount described in the Affiliate Tool (or, if applicable, in the Affiliate Policies) that you earn for each eligible customer transaction.

• Customer – a person or entity that signs up for Project Casting’s paid services after clicking your Affiliate Link.

• Customer Transaction – a transaction by a Customer that is eligible for commission under this Agreement, typically the first purchase or subscription.

• Customer Data – information that a Customer submits or collects via Project Casting’s services.

• Project Casting Services – any paid subscription or other products we offer (collectively, the “Subscription Service”), excluding any third-party products or services.

• Program Policies Page – a landing page where we will publish additional guidelines and policies for the Affiliate Program.

3. Non-Exclusivity

This Agreement is non-exclusive. Both you and we are free to work with other parties, including other affiliates, and to promote or recommend similar products or services.

4. Affiliate Acceptance and Eligibility

1. Application Review: Once you complete your application, we will review it and notify you of acceptance or rejection. We may ask for more information or require you to complete certain prerequisites before acceptance.

2. Activation: If accepted, you must complete any enrollment criteria set out in the Program Policies within thirty (30) days. Failure to do so will result in immediate termination.

3. No automatic entry into other programs: Being accepted into the Affiliate Program does not mean you are accepted into any other Project Casting partner programs. Separate applications may be required.

4. Compliance: You must comply with this Agreement and any Affiliate Policies at all times.

5. Customer Transactions and Commission

5.1 Program Limits

Each Affiliate Lead will expire after a period defined in the Affiliate Tool or Program Policies. We pay commission only on the first qualifying transaction for each Customer. If the same Customer later purchases additional services or upgrades, you will not receive further commission for that Customer.

5.2 Eligibility

You are eligible for commission only if:

1. The Affiliate Lead is valid and accepted (see “Acceptance and Validity” below);

2. A qualifying Customer Transaction occurs; and

3. The Customer remains a customer throughout the locking period specified in the Affiliate Tool.

You are not eligible to receive commission if the law prohibits such payments, if the Customer pays commission directly to you, if fraud or misuse of the Affiliate Link occurs, or if another Project Casting partner program covers that Customer. In competitive situations, we may determine at our discretion which affiliate is entitled to commission.

5.3 Acceptance and Validity

You will only earn commission from Customer Transactions derived from Affiliate Leads generated through your Affiliate Link and accepted by Project Casting. An Affiliate Lead is accepted if we determine that it is a new prospective customer and not currently engaged with Project Casting. If the Customer does not complete a qualifying transaction within the time specified in the Affiliate Tool, you will not be eligible for commission.

5.4 Commission and Payment

To receive payment, you must:

• Agree to this Agreement;

• Create and maintain an account in the Affiliate Tool with a valid payment method;

• Complete any required tax documentation.

5.5 Forfeiture of Commission

If any of the above requirements remain outstanding for three (3) months following a Customer Transaction, your right to commission from that transaction will be forfeited. Once you comply with the requirements, you will again be eligible for commission on future Customer Transactions, but not for those previously forfeited.

5.6 Commission Payment and Taxes

We (or the Affiliate Tool) will determine the currency for payment and any applicable conversion rates. We will not pay more than one commission for any Customer Transaction. You are responsible for any applicable taxes and bank fees. Commission rates may change at our discretion; any changes will be reflected in the Affiliate Tool.

5.7 Training and Support

We may provide webinars or other resources to you at no charge. You agree to encourage your relevant personnel to participate in such training. We may change or discontinue program benefits at any time.

6. Trademarks and Marketing Materials

1. Your Marks: You grant us a non-exclusive, non-transferable, royalty-free right to use your trademarks, service marks, and logos (“Affiliate Marks”) solely in connection with our Affiliate Program.

2. Our Marks: If we provide our trademark for your use through the Affiliate Tool, you may use it only as provided, without alteration, and solely in connection with this Affiliate Program. You must follow any branding guidelines we provide and not use our trademarks in a misleading or disparaging way or imply our endorsement of your products.

7. Proprietary Rights

1. Project Casting’s Rights: Project Casting and its licensors retain all rights in the Project Casting services and content. No license to software or other intellectual property is granted by this Agreement.

2. Customer’s Rights: Customers retain all rights to their data. Nothing in this Agreement transfers ownership of Customer Data.

8. Confidentiality

“Confidential Information” means all information designated as confidential by the disclosing party or that reasonably should be understood to be confidential (including customer and prospect information). Confidential Information does not include information that (i) is publicly known without breach of any obligation, or (ii) was known to the receiving party before disclosure. The receiving party will protect the disclosing party’s Confidential Information using at least the same care it uses for its own confidential information and will not use or disclose it except as permitted under this Agreement.

9. Opt-Out and Unsubscribing

You must promptly comply with all opt-out, unsubscribe, “do not call,” and “do not send” requests from prospects or customers. You agree to maintain systems and procedures to honor these requests.

10. Term and Termination

1. Term: This Agreement will remain in effect while you participate in the Affiliate Program.

2. Termination without Cause: Either party may terminate this Agreement on fifteen (15) days’ written notice.

3. Termination for Agreement Changes: If we update or replace this Agreement, you may terminate on five (5) days’ written notice, provided you notify us within ten (10) days after we send notice of the change.

4. Termination for Cause: We may terminate this Agreement for material breach with thirty (30) days’ notice if the breach is not cured, for non-payment after fifteen (15) days’ notice, or immediately if you become insolvent, violate your subscription terms, or act in a manner that negatively affects us.

5. Effects of Termination: Termination without cause by us or with cause by you does not affect our obligation to pay commission on transactions recognized within thirty (30) days after termination. If you terminate without cause or we terminate for cause, your right to commission immediately stops. Upon termination, you must discontinue use of the Affiliate Tool, cease using our trademarks, and remove references to this program from your website.

11. Affiliate Representations and Warranties

You represent and warrant that you have all rights to participate in the Affiliate Program and provide us with Affiliate Leads. You will comply with trade or regulatory requirements and accurately list all websites where you use Affiliate Links. You will not:

• Purchase ads competing with Project Casting’s own advertising (e.g., bidding on branded keywords);

• Engage in cookie stuffing, pop-ups, or misleading links;

• Mask referring URLs;

• Use your own Affiliate Link to purchase Project Casting services for yourself;

• Use automation or incentives to generate leads.

12. Indemnification

You will indemnify, defend, and hold us and our affiliates harmless against third-party claims arising from your participation in the Affiliate Program, your non-compliance with this Agreement, your use of the Affiliate Tool, or our use of the Affiliate Marks. We will provide you with notice of any claim and allow you to control the defense, provided any settlement does not impose obligations on us without our consent.

13. Disclaimers and Limitation of Liability

1. Disclaimer of Warranties: We make no warranties regarding the suitability, reliability, availability, or accuracy of Project Casting’s services or the Affiliate Tool. To the maximum extent permitted by law, these are provided “as is,” and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

2. No Indirect Damages: Neither party will be liable for any indirect, punitive, or consequential damages, including lost profits.

3. Limitation of Liability: Our aggregate liability will not exceed the total commission you actually earned for Customer Transactions in the twelve months preceding the event giving rise to the claim.

4. Affiliate Tool: We do not promise to make the Affiliate Tool available at all times and will not be liable for any downtime.

5. Cookie Duration: Cookies have a set duration; if a potential customer clears cookies during that period, Project Casting is not responsible for commissions that may have been owed.

14. General

1. Amendment; No Waiver: We may update or change this Agreement at any time. The updated version will become effective the next business day after we notify you via the Affiliate Tool or email. If you do not agree, you may terminate the Agreement. No failure to exercise rights constitutes a waiver.

2. Governing Law: This Agreement is governed by the laws of the State of Georgia, USA. Any legal actions shall be brought exclusively in the state or federal courts located in Fulton County, Georgia.

3. Force Majeure: Neither party will be liable for delays or failures due to events beyond its reasonable control, such as war, natural disasters, or internet outages.

4. Actions Permitted: Except for actions for non-payment or infringement of proprietary rights, no action may be brought more than one (1) year after the cause of action has accrued.

5. Relationship of the Parties: We are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

6. Compliance with Laws: You will comply with all applicable laws and regulations, including export and sanctions laws.

7. Severability: If any provision is unenforceable, the remaining provisions will remain in effect, and a valid, enforceable provision that most closely matches the intent will replace it.

8. Notices: Notices will be deemed delivered upon receipt at the addresses below.

• Affiliate Address: As provided in your affiliate account.

9. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior proposals or agreements.

10. Assignment: You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement to an affiliate or successor entity.

11. No Third-Party Beneficiaries: Nothing in this Agreement confers rights on any third party.

12. Program Policies Page: Our Affiliate Program policies are incorporated by reference and may be updated periodically.

13. No Licenses: Except as expressly stated, we grant no licenses or rights to you in our products, trademarks, or other property.

14. Sales by Project Casting: Nothing in this Agreement restricts our right to sell our services directly or through other channels.

15. Authority: Each party warrants that it has the power to enter into this Agreement and that it is binding.

16. Survival: Sections dealing with Commission and Payment, Proprietary Rights, Confidentiality, Effects of Termination, Indemnification, Disclaimers and Limitation of Liability, Non-Solicitation, and this General section survive termination or expiration.

17. Data Processing and Protection: If personal data is exchanged under this Agreement, each party will process such data as an independent controller, only for purposes described herein and in accordance with applicable data protection laws. Additional terms may apply as provided in our Business Partner Data Processing Agreement.

Updated Section 5.6 — Commission Payment and Taxes

We (or the Affiliate Tool) will determine the currency for payment and any applicable conversion rates. We will not pay more than one commission for any Customer Transaction. You are responsible for any applicable taxes and bank fees. Commission rates may change at our discretion; any changes will be reflected in the Affiliate Tool.

Commission payments will be made on a NET30 basis via PayPal. This means payments are processed within thirty (30) days following the end of the month in which the qualifying Customer Transaction occurred, provided all eligibility and documentation requirements have been met. You are responsible for maintaining an active PayPal account in good standing to receive payments. Project Casting is not responsible for delays or non-payment resulting from incorrect or inactive PayPal account information provided by the Affiliate.
